Terms of Service

1. Introduction and Acceptance

1.1. These terms of service (hereinafter referred to as the “Terms”) set forth the legally binding terms and conditions which govern the access to and use of the website, services, and deliverables (collectively referred to as the “Services”) offered by Attractor Oy, a limited company registered in Finland, business ID: 3592322-7 (hereinafter referred to as “Attractor”, “us”, “our”, or “we”).

1.2. The terms “Client”, “you”, and “your” refer to any natural person or entity that accesses the website or engages Attractor for its services.

1.3. By accessing or using the Services, you accept these Terms and represent and warrant that you have the right, authority, and capacity to enter into these Terms on behalf of yourself or the entity you represent.

2. Services

2.1. Attractor provides software development, AI implementation, and technology consulting services. The specific scope, deliverables, timeline, and fees for any engagement shall be defined in a separate statement of work, proposal, or service agreement between Attractor and the Client.

2.2. These Terms govern the general relationship between Attractor and its Clients and users of the website. In the event of any conflict between these Terms and a specific service agreement, the service agreement shall prevail.

3. Changes to Terms

3.1. Attractor reserves the right to revise and amend these Terms at its sole discretion. It is your responsibility to review these Terms periodically. Continued use of the Services after any changes constitutes acceptance of the revised Terms.

3.2. The date on which these Terms were most recently updated is stated at the beginning of this document.

4. Intellectual Property

4.1. All intellectual property rights in the website, its content, design, and branding are owned by Attractor or its licensors. All such rights are reserved.

4.2. Unless otherwise agreed in a separate service agreement, intellectual property rights in deliverables created by Attractor for a Client shall be transferred to the Client upon full payment of all applicable fees.

4.3. Attractor retains the right to use general knowledge, skills, experience, and techniques acquired during the performance of services. Attractor may also reference the engagement in marketing materials unless the Client requests otherwise in writing.

5. Confidentiality

5.1. Each party agrees to keep confidential all non-public information received from the other party in connection with the Services. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

5.2. Attractor shall implement reasonable security measures to protect Client information against unauthorised access, loss, or disclosure.

6. Website Use

6.1. You may use the website for lawful purposes only. You shall not attempt to reverse engineer, disassemble, hack, disable, or disrupt the integrity or performance of the website.

6.2. We do not guarantee that the website will always be available or uninterrupted. We may suspend, withdraw, or restrict the availability of all or any part of the website without notice.

6.3. You are responsible for making all arrangements necessary for you to have access to the website, including hardware, software, and data connections.

7. Contact Form and Communications

7.1. Information submitted through the contact form on the website is processed by EmailJS, a third-party email delivery service. By submitting the form, you agree to the transmission of your information through this service.

7.2. You represent and warrant that any information you provide through the contact form is accurate and that you have the right to share such information.

8. Third-Party Services

8.1. The website may contain links to third-party websites and services. Attractor is not responsible for the content or practices of any third-party website or service.

8.2. Third-party services used in connection with our Services are governed by their own terms of service and privacy policies. You shall comply with all applicable terms of any third-party services you access through or in connection with our Services.

9. Warranty Disclaimer

9.1. The website and its content are provided “as is” without warranty of any kind, either express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, or non-infringement.

9.2. Attractor does not warrant that the website will be uninterrupted, error-free, or free of viruses or other harmful components.

9.3. Warranties and representations relating to specific service engagements shall be governed by the applicable service agreement.

10. Limitation of Liability

10.1. To the fullest extent permitted by law, Attractor shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, business opportunities, goodwill, or reputation, arising out of or in connection with the use of the website or Services.

10.2. Attractor’s total aggregate liability for all claims arising out of or relating to these Terms shall not exceed the total fees paid by the Client to Attractor during the twelve (12) months immediately preceding the event giving rise to the claim.

10.3. The limitations set forth in this section shall not apply to liability arising from wilful misconduct or gross negligence, or to the extent such limitations are prohibited by applicable law.

11. Indemnification

11.1. You agree to indemnify and hold Attractor and its team harmless from any losses, damages, judgments, fines, and costs (including reasonable legal fees) arising from: (i) your breach of these Terms; (ii) your violation of any applicable laws or regulations; (iii) any misrepresentations made by you; or (iv) any third-party claims arising from your use of the Services.

12. Termination

12.1. Attractor may terminate or suspend your access to the website at any time, without prior notice, if you breach these Terms or if we determine, at our sole discretion, that such action is necessary.

12.2. Termination of specific service engagements shall be governed by the applicable service agreement.

12.3. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to: intellectual property, confidentiality, limitation of liability, indemnification, and governing law.

13. Governing Law and Dispute Resolution

13.1. These Terms shall be governed by and construed in accordance with the laws of Finland, without regard to conflict of law principles.

13.2. Any dispute arising out of or relating to these Terms shall first be attempted to be resolved amicably through negotiation. If the dispute cannot be resolved within thirty (30) days of written notice, it shall be finally settled by arbitration in accordance with the Arbitration Rules of the Finland Chamber of Commerce. The seat of arbitration shall be Turku, Finland, and the language of arbitration shall be English.

13.3. Notwithstanding the above, Attractor is entitled to commence proceedings in any court of competent jurisdiction for the payment of any sum due or for injunctive relief.

14. Force Majeure

14.1. Attractor shall not be liable for any failure to perform, or delay in performance of, any obligation under these Terms caused by events outside our reasonable control, including but not limited to labour disputes, acts of God, war or terrorist activity, pandemics, malicious damage, accidents, or compliance with any applicable law or government order.

15. Entire Agreement

15.1. These Terms, together with any applicable service agreements, constitute the full and final agreement between you and Attractor with respect to the subject matter hereof and supersede all prior negotiations, agreements, and understandings.

15.2. A waiver of any term or provision of these Terms shall not be deemed a waiver of such term or provision in the future.

15.3. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
